The agreement between Accella and organisations using Accella ONE.

Parties and acceptance
These terms form an agreement between Accella Co., Ltd. and the organisation granted access to Accella ONE.
Using the service constitutes acceptance. Where a signed service agreement exists, its terms prevail over these to the extent of any conflict.

The service
Accella ONE is software for the work a business does facing its customers: messaging across channels, contact management, orders, appointments, online storefronts, and the automation around them.
What each organisation receives — including how many workspaces and which channels may be connected — is set out in its quotation or service agreement.

Accounts and access
Organisation accounts are provisioned by Accella. There is no self-service sign-up.
The organisation is responsible for managing its own staff accounts, including revoking access when someone leaves, and is responsible for activity carried out under those accounts.
The organisation must notify us promptly on becoming aware of any unauthorised access.

Customer data and ownership
Data the organisation brings into the service, and data arising from its end-customers' use, belongs to that organisation. Accella claims no ownership of it.
Accella processes that data only to provide the service under these terms and in accordance with the privacy policy.
The organisation warrants that it has the legal right to enter the data, and has given any notice or obtained any consent the law requires.

Third-party platforms
The service works alongside third-party platforms such as Meta and LINE. Use of those parts is also subject to the platform's own terms and policies.
The organisation must be entitled to administer any Page or account it connects.
Those platforms may change their terms, capabilities, or fees; this is outside our control and we are not responsible for such changes.

Acceptable use
The service must not be used to:
- Send unsolicited messages in a manner contrary to law or to a connected platform's policies.
- Carry out unlawful acts, infringe others' rights, or mislead consumers.
- Attempt to reach another organisation's data, or to test the security of the system without written permission.
- Resell or provide the service to third parties otherwise than as agreed.
We may suspend access where we find such use and it puts the service or other organisations at risk, notifying the organisation as soon as we can.

Fees
Fees, billing cycle, and payment terms follow each organisation's quotation or service agreement. Nothing is sold or charged through the web interface.

Availability and support
We aim to provide the service continuously but do not warrant uninterrupted operation. Planned maintenance is announced in advance where practicable.
Support levels and response times are those stated in the service agreement.

Intellectual property
The Accella ONE software, interface, documentation, and marks are Accella's property. The organisation receives a non-exclusive, non-transferable right to use them for the term of the agreement.
Reverse engineering, copying, or modifying the software is not permitted, except to the extent the law permits and that right cannot be waived.

Liability
The service is provided as it stands, and we are liable only for direct loss caused by our breach of this agreement.
We are not liable for indirect loss, lost profit, or lost business opportunity.
Our total liability in any twelve-month period is limited to the fees actually paid by the organisation in that period.
These limits do not apply to liability that the law does not permit to be limited.

Termination
Either party may terminate in accordance with the service agreement.
On termination the organisation may request the return of its data in a usable format, within the period stated in the privacy policy.

Governing law
These terms are governed by the law of Thailand, and the Thai courts have jurisdiction over any dispute.
